Net proceeds from the offering will be used for various purposes, including development and financing of a feature-length film, financing of current productions, including a third season of the 3D computer animated television series ReBootTM, acquisition of property, plant and equipment, including software and general corporate purposes.
In conjunction with the IPO, Alliance Multimedia Inc. sold 700,000 Mainframe common shares held by it to reduce its holdings to 7.8% of Mainframes outstanding common shares.
Mainframe Entertainment, Inc. is presently engaged in several projects which include the first ever 100% computer animated weekly television series in the world, ReBoot, now in its third season of production. Web World - ReBoot Season III will begin airing to audiences in various countries around the world starting this July. The company also produces the highly popular television series BeastiesTM (known as Beast Wars outside Canada), also a 100% computer animated production. Beasties is currently in its second season of production.
In partnership with IMAX® Corporation, Mainframe is producing two IMAX RidefilmsTM for the worldwide market. The first Ridefilm, designed specifically for the IMAX motion platform, is due for release later this year.
Mainframe and Electronic Arts, a world leader in the development of computer
games, are producing a computer game based on the ReBoot property, Countdown
To Chaos, which features real time animation produced at Mainframe. The game
is set for its debut at the E3 trade show and convention in Atlanta, Georgia
later this month and worldwide release will follow in the Fall of this year.
